Implications of Berkshire's housing deal remain unstated

Berkshire Hathaway completed its acquisition of Taylor Morrison on Friday, closing a deal that hands the conglomerate a major homebuilder without a stated plan to link it to its insurance operations – despite the fact that Berkshire is simultaneously one of the largest P&C insurers and reinsurers in the world and Taylor Morrison brings an in-house homeowners&rsquo; insurance arm into the fold. Berkshire paid $72.50 per common share in cash, valuing the homebuilder at about $6.8 billion in equity and $8.5 billion on an enterprise-value basis.

The transaction folds Taylor Morrison into Berkshire's existing site-built housing business. Taylor Morrison's brands, including Esplanade, Yardly and Taylor Morrison Home Funding, will be integrated with Clayton Properties Group, a collection of 15 established regional and local homebuilders, under continuing CEO Sheryl Palmer.

"We have always believed in the strength of our business, and today Berkshire Hathaway has confirmed that belief," said Palmer. "As we enter this new chapter, the scale and reach we gain by unifying with Berkshire and Clayton's regional site-built homebuilders is transformative. We'll now serve more customers, in more markets, with more choices - while maintaining the specialized local expertise that has made us successful. We're thrilled to build upon that success as we scale to create a combined homebuilding platform unlike anything in the industry."

Following the close, Taylor Morrison's shares were delisted from the NYSE and its SEC reporting obligations were suspended. The purchase price represents a 24% premium over Taylor Morrison's May 29 closing price of $58.50.

An insurance link, unconfirmed

Taylor Morrison offers customers in-house mortgage, title, escrow and homeowners&rsquo; insurance services alongside its home sales. Berkshire's existing housing-adjacent holdings include Clayton Homes in manufactured housing and Berkshire Hathaway HomeServices, described as one of the largest residential real estate brokerage franchise networks in the US. Neither company has addressed whether Taylor Morrison's homeowners&rsquo; insurance arm will be integrated with, or continue to operate separately from, Berkshire's insurance subsidiaries.

At the May 31 announcement, Abel said the deal underscored Berkshire's long-term commitment to housing and its plans to unify its site-built operations over time. Palmer said Berkshire's long-term approach aligned well with homebuilding's multi-year investment cycle.

Deal context and scale

The acquisition marks one of the first major strategic moves under Abel, who became Berkshire's CEO at the start of 2026 when Warren Buffett transitioned to chairman. It follows a prolonged downturn in US homebuilding, with single-family housing starts continuing to slide amid affordability pressures. Goldman Sachs and Moelis advised Taylor Morrison; Gibson, Dunn & Crutcher and Baker McKenzie advised Berkshire.

Taylor Morrison ranked as the sixth-largest US homebuilder by volume ahead of the deal, delivering 12,997 homes in 2025 at an average sales price of $597,000, for closings revenue of $7.76 billion and net income of $783 million. Combined with Clayton Properties Group's operations, the merged entity now spans 21 states, 52 housing markets and more than 700 communities.
